Terms of Service

By accessing or using https://bayescore.com and any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

These Terms apply to all visitors, registered users, and anyone who accesses or uses the Service. We may update these Terms at any time. Continued use after changes are posted constitutes acceptance of the revised Terms. We will notify users of material changes by email or via a prominent notice on the site.

BayesCore is a confidence-gated agent runtime. It runs multi-agent pipelines where every step is gated on a belief state — surface implicit evaluation criteria in any structured artifact, score it against its own standard, and return a calibrated confidence score (0–100) with per-predicate rationales and highest-leverage gap analysis.

All paid plans include a 14-day free trial. No credit card is required to start a trial. The Service is offered in three paid plans:

• Perpetual License ($149 one-time). Own v1 of BayesCore forever. Includes the desktop application, a bundled local LLM (no API key required), a persistent Bayesian kernel, all three agent pipelines, cloud sync, and 1 machine activation. When v2 ships, perpetual license holders receive a discounted upgrade offer.
• Standard Monthly ($29/month). Subscription that always provides the latest version of BayesCore. Includes the same features as the Perpetual license, plus priority support and automatic version updates.
• Standard Annual ($249/year). Same as Standard Monthly at approximately 28% discount. Locks in the early-adopter rate for the duration of the subscription.

Pricing is as displayed on the pricing page at the time of purchase.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where possible.

Some features of the Service require registration. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect any unauthorised use of your account.

We use email and password authentication. Passwords are stored only as salted hashes. You may not transfer your account to another person without our prior written consent.

4.1 Payment Processing

All payments are processed by Creem, our Merchant of Record (“Payment Processor”), which handles applicable taxes globally on our behalf. By completing a purchase, you agree to Creem’s terms of service.

4.2 Perpetual License

The Perpetual License is a one-time purchase. There are no recurring charges. The license covers v1 of the BayesCore desktop application. A discounted upgrade offer will be extended to perpetual license holders when v2 ships; acceptance of any such offer is optional.

4.3 Subscription Plans (Monthly and Annual)

Subscription plans are billed on a recurring basis (monthly or annually) at the rate displayed on the pricing page at the time of sign-up. Your subscription renews automatically at the end of each billing period unless cancelled before the renewal date. You may cancel at any time via the Creem customer portal or by emailing [email protected]. Cancellation takes effect at the end of the current paid period; no partial refunds are issued for unused time except as provided in Section 5.

4.4 Free Trial

All paid plans include a 14-day free trial. No credit card is required to start. At the end of the trial period, you will be charged the applicable plan rate unless you cancel before the trial expires.

4.5 License Delivery

Your license key is delivered by email immediately after your first charge (or immediately on trial activation if Creem issues it at that point). The key is tied to the email address used at checkout and activates on 1 machine. If you do not receive your key within 15 minutes, check your spam folder or email [email protected].

4.6 Price Changes

We may change our listed prices at any time. For subscription customers, we will give at least 30 days’ notice before any price increase takes effect. The Annual plan rate is locked for the duration of each paid annual period.

5.1 14-Day Refund Guarantee

If you are unsatisfied with any paid plan for any reason, email [email protected] within 14 days of your first charge and we will issue a full refund, no questions asked. Refunds are processed within 5 business days.

5.2 Subscription Cancellation

You may cancel a subscription at any time via the Creem customer portal. Access continues until the end of your current billing period. We do not issue prorated refunds for the unused portion of a billing period, except within the 14-day refund window described in Section 5.1.

5.3 Termination by Us

We may terminate or revoke a license or subscription at any time for violation of these Terms or fraudulent activity. Where termination is without cause, we will issue a prorated refund for any unused paid period.

You agree not to use the Service to:

• Upload documents containing unlawful, harmful, defamatory, or infringing content.
• Attempt to reverse-engineer, scrape, or extract the underlying scoring models or prompts.
• Circumvent rate limits, access controls, or any security measures.
• Submit false, misleading, or fraudulent content in order to manipulate scores.
• Use the API in a manner that places unreasonable load on our infrastructure.
• Resell or sublicense access to the Service without our prior written consent.
• Use the Service for any purpose that violates applicable law or regulation.

We reserve the right to suspend or terminate access to any account or IP address that violates these rules, without notice.

“Your Content” means any documents, text, or other material you submit to the Service for evaluation. You retain all ownership rights to Your Content.

By submitting Your Content, you grant us a limited, non-exclusive, royalty-free licence to process and analyse Your Content solely for the purpose of providing the Service to you. We do not use Your Content to train AI models or share it with third parties, except as required to operate the Service (e.g. passing document text to our LLM API provider for evaluation).

You represent and warrant that you have all rights necessary to submit Your Content and that Your Content does not violate any third-party rights or applicable law.

The Service, including its source code, design, scoring methodology, evaluation domains, and all content created by BayesCore (excluding Your Content), is owned by us and protected by applicable intellectual property laws.

Nothing in these Terms transfers any intellectual property rights to you. You may not copy, modify, distribute, sell, or create derivative works of the Service or any part of it without our express prior written consent.

Evaluation outputs (scores, grades, rationales) generated for Your Content are provided for your use. You may share or publish them, provided you do not misrepresent their source or claim they were produced by a different system.

The Service uses third-party providers including:

• LLM providers — for cloud-side adversarial evaluation scoring (Standard license users may also run evaluations fully locally via the bundled LLM with no data leaving their device).
• Creem— as our Merchant of Record for payment processing and global tax compliance. By completing a purchase you also agree to Creem’s terms of service.
• Jira Service Management — for Standard license support ticket delivery.

We are not responsible for the practices of third-party providers. Links to third-party sites are provided for convenience and do not constitute endorsement.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

BayesCore scores are probabilistic estimates, not professional opinions, guarantees, or investment, legal, or business advice. Scores reflect the degree to which a document’s content supports its own implicit evaluation criteria — nothing more. Do not rely on scores as the sole basis for any significant decision.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that defects will be corrected.

TO THE FULLEST EXTENT PERMITTED BY LAW, BAYESCORE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT WILL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) USD $50.

Some jurisdictions do not allow the exclusion or limitation of liability for certain damages, so the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless BayesCore and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party right, including any intellectual property right or privacy right.

These Terms are governed by and construed in accordance with applicable law. Any dispute arising from or relating to these Terms or the Service that cannot be resolved informally shall be submitted to binding arbitration or the courts of the jurisdiction in which BayesCore operates, as applicable.

Before initiating any formal proceeding, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and BayesCore regarding the Service and supersede all prior agreements.

Severability

If any provision of these Terms is held to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely.
